1. Acceptance of Terms

By accessing or using the services provided by Land Tech Labs Inc. ("Land Tech Labs," "Landalyze," "we," "us," or "our"), including the Landalyze platform, DealMaker tools, investor marketplace, and land development analysis tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Land Tech Labs provides a technology platform for land development professionals, including:

• Landalyze: AI-powered land development analysis tools supported by an expert team of real humans who review and validate every deal analysis
• DealMaker: Deal submission, tracking, and management tools with tiered subscription plans
• Investor Marketplace: A platform connecting land developers with potential investors
• Analysis Reports: Stage 1 and Stage 2 feasibility reports for land development deals

3. Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You may register using your email address or through Google Sign-In. By using Google Sign-In, you authorize us to access your basic profile information (name, email, profile picture) as described in our Privacy Policy.

4. Subscription Plans and Payments

4.1 Subscription Tiers

We offer multiple subscription tiers (Free, DealMaker JR, DealMaker Pro, DealMaker Max, and Back Office Bolt-on), each with different features and pricing. Current pricing and feature details are available on our Pricing page.

4.2 Billing

Paid subscriptions are billed annually. All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid features until the end of your current billing period. No refunds will be issued for partial billing periods.

4.4 Free Tier

The Free tier provides limited access to the Services, including a limited number of deal submissions per year. Free tier users may upgrade to a paid plan at any time.

5. Deal Submissions and Analysis

When you submit a deal for analysis, you represent that you have the right to share the information provided and that the information is accurate to the best of your knowledge. Our analysis reports are provided for informational purposes only and should not be construed as financial, legal, or investment advice.

Disclaimer: While our team of experts and AI-powered tools strive for accuracy, Land Tech Labs does not guarantee the accuracy, completeness, or reliability of any analysis report. All investment and development decisions should be made in consultation with qualified professionals.

6. Investment Risk Disclaimer & Due Diligence

6.1 No Investment Advice

The information, data, analysis reports, market insights, and any other content provided through the Services (collectively, "Platform Content") are for informational and educational purposes only. Platform Content does not constitute financial advice, investment advice, legal advice, tax advice, or any other form of professional advice. Nothing on this platform should be construed as a recommendation or solicitation to buy, sell, or hold any investment, security, or real estate asset.

6.2 Best Available Information

We strive to base our analysis and data on the best available information at the time of preparation. However, real estate markets, zoning regulations, municipal bylaws, and economic conditions are inherently dynamic and subject to change without notice. Data may be sourced from third-party providers, public records, and AI-assisted analysis tools, all of which may contain inaccuracies, omissions, or become outdated. Land Tech Labs Inc. and DealCraft Group of Companies make no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any Platform Content.

6.3 Independent Due Diligence Required

All users — including investors, deal makers, realtors, and any other participants — are solely responsible for conducting their own independent due diligence before making any investment, purchase, sale, or other financial decision. This includes, but is not limited to:

• Engaging qualified professionals such as licensed real estate appraisers, attorneys, accountants, engineers, and financial advisors
• Independently verifying all property data, zoning information, financial projections, and market conditions
• Reviewing all legal documents, contracts, and regulatory requirements applicable to any transaction
• Assessing your own financial situation, risk tolerance, and investment objectives
• Conducting physical inspections and environmental assessments of any property

6.4 No Endorsement of Investment Opportunities

Unless explicitly and clearly stated in writing by an authorized officer of the company, neither DealCraft Group of Companies, Land Tech Labs Inc., nor any of their subsidiaries, affiliates, directors, officers, employees, or agents endorse, recommend, or guarantee any investment opportunity, deal listing, property, or transaction presented on or through the platform. The presence of any deal, listing, or analysis on the platform does not constitute an endorsement or recommendation by DealCraft Group of Companies or Land Tech Labs Inc.

6.5 Assumption of Risk

Real estate investment and land development involve substantial risks, including but not limited to: loss of capital, market volatility, regulatory changes, construction risks, environmental liabilities, interest rate fluctuations, and illiquidity. Past performance of any deal, market, or analysis is not indicative of future results. You acknowledge and accept that any investment decision you make is at your own risk, and you agree not to hold Land Tech Labs Inc., DealCraft Group of Companies, or any of their affiliates liable for any losses, damages, or costs arising from your reliance on Platform Content or your investment decisions.

6.6 No Fiduciary Relationship

Use of the Services does not create a fiduciary, advisory, broker-dealer, or agency relationship between you and Land Tech Labs Inc. or DealCraft Group of Companies. We are a technology platform provider and are not acting as your broker, financial advisor, investment advisor, or fiduciary in any capacity.

7. Investor Marketplace

The investor marketplace facilitates connections between land developers and investors. Land Tech Labs acts as a platform provider and is not a party to any transaction between users. We do not guarantee the success of any deal, the solvency of any party, or the accuracy of information provided by users.

Users of the marketplace are solely responsible for conducting their own due diligence before entering into any transaction. Land Tech Labs is not a broker, financial advisor, or fiduciary.

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by Land Tech Labs and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Services without our prior written consent.

You retain ownership of any content you submit through the Services (such as deal information and property data). By submitting content, you grant us a non-exclusive license to use, process, and display that content as necessary to provide the Services.

9. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, harvest, or collect information from the Services without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services to send spam or unsolicited communications

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAND TECH LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Land Tech Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Land Tech Labs is incorporated, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
